Terms and Conditions

1. Introduction

Welcome to PropAxis, a technology-driven real estate referral platform designed to connect property buyers, sellers, and referral partners while providing incentives for successful property transactions.

These Terms & Conditions govern the usage of the PropAxis application, services, and related activities. By registering and using our platform, you acknowledge that you have read, understood, and agree to comply with these terms. If you do not agree with any part of these Terms & Conditions, you should refrain from using the platform.

PropAxis is owned and managed by Mouthpiece Creatives Pvt. Ltd., an advertising and digital marketing agency and a RERA-registered company (RERA NO: A02200003964) in the state of Telangana.

Mouthpiece Creatives Pvt Ltd acts as Channel Partner with the properties listed on the app and does not own, construct or manage any properties listed.

All projects listed on the app are owned, developed and managed by independent developers or builders.

SECTION A: GENERAL TERMS & CONDITIONS

2. Definitions

For the purpose of these Terms & Conditions:

"PropAxis" refers to the technology platform, including the mobile application, website, and services offered by PropAxis.
"PropLeader" refers to a registered user who submits property leads on PropAxis.
"Client" refers to a property buyer or seller introduced via a referral.
"PropExpert" refers to a real estate professional or agent approved and onboarded by the PropAxis internal team to facilitate property transactions.
"Referral Bonus" refers to the commission or incentive payable to the Referral Partner upon successful lead conversion.
"Successful Transaction" refers to a verified property sale or purchase completed through the PropAxis platform.

3. User Eligibility & Registration

Users must be at least 18 years old and legally capable of entering into a binding contract.
Users must provide accurate and complete personal details at the time of registration.
PropAxis reserves the right to verify, approve, or reject any user registration at its discretion.
Agents must be internally vetted before they can operate on the platform.

4. ACCEPTANCE OF THE TERMS AND CONDITIONS

PropAxis agrees to provide to the User and the User agrees to avail from PropAxis the Services in accordance with and on the basis of this Agreement and the User's acceptance of the Terms and Conditions and Privacy Policy constitute the Agreement between the User and PropAxis and such Agreement shall deem to replace all previous arrangements between the User and PropAxis in relation to the Services and access of the Site.
The User undertakes to be bound by the Agreement each time the User accesses the Site, completes the registration process.
The User represents and warrants to PropAxis that the User is 18 (eighteen) years of age or above, and is capable of entering into, performing and adhering to the Agreement. Individuals under the age of 18 (eighteen) may access the Site or avail a Service only with the involvement, guidance, supervision and/or prior consent of their parents and/or legal guardians, through the Account of or under the guidance of such parent/legal guardian. PropAxis shall not be responsible for verifying if the User is at least 18 (eighteen) years of age.

5. USER INFORMATION

PropAxis shall not be responsible for the accuracy, quality, integrity, legality, reliability, appropriateness and Intellectual Property Rights of and/or in relation to the User Information.
PropAxis shall not be responsible or liable for the deletion, correction, destruction, damage, loss or failure to store any User Information, in whole or in part.
PropAxis reserves the right to withhold access, remove or discard any User Information from the Site, in whole or in part at on its sole discretion.
PropAxis shall have the right but not an obligation to maintain or forward any User Information and to verify the authenticity of any User Information made available to it through the Site or otherwise.

6. Use of Platform & Services

The platform is intended only for real estate-related activities. Any misuse, fraudulent activity, or spam behaviour will lead to immediate suspension of the account.
Users must not impersonate others, submit false information, or attempt to manipulate the referral system.
Users are responsible for ensuring that the leads submitted have given explicit consent to be contacted by PropAxis.

7. Lead Submission & Management

Referral Partners must submit genuine, interested leads only.
Leads are accepted on a first-come, first-served basis, and duplicate leads will be disqualified.
Users will be notified about lead status updates through the PropAxis app.
Leads will be allocated to registered agents based on availability, property type, and location.

8. Referral Payouts & Commission

Referral Bonuses are only payable upon successful conversion of assigned leads.
The bonus amount is determined based on the transaction value and the commission received by PropAxis.
Payouts are processed within 30 days after the final verification of a completed transaction.
For any dispute regarding referral payout, the Referral Partner must raise the dispute within 15 days from the transaction completion date.

9. Taxation & Compliance

Referral Bonuses are subject to applicable tax deductions as per Indian government regulations.
Users are responsible for declaring any earnings from PropAxis while filing their taxes.
PropAxis will provide tax invoices or relevant documentation for users who require proof of earnings.

10. Conduct & Compliance

Users must not engage in unethical, misleading, or illegal practices while using the platform.
Any attempt to circumvent the PropAxis platform for direct transactions will result in account termination and forfeiture of any pending payouts.
Users must comply with all applicable real estate laws and data protection regulations.

11. Limitation of Liability

PropAxis only acts as a facilitator and does not guarantee that all leads will result in a successful transaction.
PropAxis is not liable for disputes between buyers, sellers, or agents.
PropAxis is not responsible for any loss, damages, or legal issues arising from property transactions initiated through the platform.

12. Modifications & Updates

PropAxis reserves the right to modify, suspend, or terminate services at any time.
Any changes to these Terms & Conditions will be communicated to users through in-app notifications and email.

13. Governing Law & Dispute Resolution

These Terms & Conditions are governed by the laws of India.
Any disputes arising from these Terms & Conditions shall be resolved through arbitration in Hyderabad, Telangana.

SECTION B: REFERRAL TERMS & CONDITIONS

14. Referral Program Eligibility

Only registered users of PropAxis can participate in the referral program.
Employees, internal agents, and PropAxis administrators are not eligible for Referral Bonuses.
Referral Partners must use the app to submit leads to be eligible for rewards.

15. Lead Submission & Approval Process

Leads must be submitted with full and accurate details, including the client's contact information.
The first user to submit a lead will be recognized as the referral source.
Duplicate leads, spam leads, or leads without proper consent will be rejected.
Lead status updates will be provided in real-time within the PropAxis app.

16. Referral Bonus Payment Process

Referral Bonuses will be paid only after the transaction is fully completed and verified.
Payments will be credited to the user's registered bank account.
If the referred client backs out or the deal does not close, no bonus will be paid.

17. Referral Bonus Amount & Structure

Referral bonuses vary depending on the property value and commission earned by PropAxis.
Referral bonuses are determined solely by PropAxis and are fixed and non-negotiable. The referral payout is subject to successful transaction closure and PropAxis verification. PropAxis reserves the right to withhold or modify the bonus structure without prior notice.
Bonus amounts are non-transferable and non-negotiable.

18. Disqualification & Fraud Prevention

Referral Partners found engaging in misuse, fraud, or attempting to claim another user's lead will be permanently banned.
If multiple users claim the same lead, the decision of PropAxis will be final.
Users submitting fabricated, spam, or misleading leads will be legally liable.

19. Disputes on Referral Bonuses

For any dispute regarding referral payout, the Referral Partner must raise the dispute within 15 days from the transaction completion date.
PropAxis reserves the right to re-evaluate disputed claims based on internal records.

20. Termination of Referral Program

PropAxis reserves the right to modify, suspend, or terminate the referral program at any time.
Pending payouts at the time of termination will be processed as per standard payout timelines.

SECTION C: DATA PRIVACY & SECURITY

21. Data Protection & Privacy Policy

Users agree that PropAxis collects and processes personal data as per its Privacy Policy.
Personal information is secured using industry-standard encryption and security measures.
PropAxis will not sell or share user data with third parties without consent.

22. Third-Party Integrations

PropAxis may integrate with third-party services for lead management, payment processing, or communication.
Users acknowledge that third-party services may have separate terms and privacy policies.

23. Disclaimer

PropAxis contains links to other Websites. Mouthpiece creatives pvt ltd. is not responsible for the privacy practices or the content of such Websites.
The images displayed in the PropAxis app are for reference purposes only. They are intended to provide a general idea of the property and its features but may not always represent the exact layout, specifications, or final appearance. Actual properties may vary based on availability, developer modifications, or other factors. We recommend verifying details with the respective property consultant before making any decisions.
PropAxis is not responsible for any incorrect or inaccurate content posted on the site or in connection with the PropAxis service, whether caused by User/Users or by any of the equipment or programming associated with or utilised neither in the service, nor for the conduct of any User and/or Users of the PropAxis service whether online or offline.
The information and opinions available on the Site in relation to the Services are mere guidelines for the purposes of providing general information on the subject and the exchange of property and any other information through or on the Site is not an offer and/or recommendation from/by PropAxis.
The Content should not be regarded as legal, financial or real estate advice for the User. PropAxis advises the User to make independent enquiries and obtain professional advice before making legal, financial or real estate decisions. The measurements, prices and locations provided on the Site are approximate and no responsibility is taken by PropAxis for any error, omission or misunderstanding in construing those particulars.
PropAxis is not responsible for the accuracy or reliability of any third-party reports, market information, studies and analysis made available on the Site and any external web links mentioned on the Site.
PropAxis does not have the obligation to physically meet, conduct background or police verification of the Users.
PropAxis shall not be held liable or responsible for indemnifying, refunding or reimbursing any User for any loss, damages or expenses suffered or incurred by such User as a consequence of the suspension or deactivation of the User's Account.
All real estate projects ("Projects","Properties") displayed on PropAxis are marketed by MouthPiece Creatives Private Limited, which acts as a channel partner for these Projects alongside their respective developers. All information related to any Projects made available on PropAxis, including but not limited to property details, specifications, prices, and features, is provided, described, and supplied by the respective developers.
The pictures / photos / visuals / videos shown on PropAxis include artist's impressions of properties being displayed and have been provided by the developers. The actual properties may vary from, and may be inconsistent with, such representations. Further pictures/photos/ representations of furniture and fixtures, surroundings, roads etc. are merely illustrative and shall not be construed to be available with the listed properties or as part of the offerings.
You acknowledge that by merely making property information available on PropAxis, MouthPiece Creatives Private Limited nor PropAxis (nor any person having any ownership or other interest in either of them and their respective directors, employees, agents and other representatives) are not involved in any 'unfair trade practice', as defined under the Real Estate (Regulation and Development) Act, 2016 ("Act"), if such information turns out to be inaccurate, incomplete or false.
The developers/projects may be required to register with the concerned authority under the Act and to otherwise comply with the Act. The display of information on PropAxis with respect to any developer or project does not guarantee that the developer/project has registered under the Act or is compliant with the same, and there is a possibility that the authorities may deny the registration, revoke the registration if one has been granted, or take any other action for non-compliance.
Neither MouthPiece Creatives Private Limited nor PropAxis (nor any person having any ownership or other interest in either of them and their respective directors, employees, agents and other representatives) shall be responsible or liable to you or any other person (a) for any error, falsity, or inaccuracy in the information provided herein or for any omission of information; (b) for any action taken, cost / expenses / losses incurred, by you or any other person, based on the information given on the portal; (c) for any act or omission of the developers or any default or failure or breach on their part, including with respect to delivery of any services or amenities advertised and any delay in delivery or completion of the property; or (d) the registration of the developers/project/property being revoked or denied or any action being taken towards the same.

24. REAL ESTATE REGULATORY AUTHORITY

For the purposes of this Agreement and Services related thereto, it shall be deemed that the Users are aware about the rules and regulations in relation to the Real Estate Regulatory Authority (RERA) of the concerned state in India. PropAxis recommends that the Users periodically visit the concerned RERA website for updates and information in relation to any property listed on the Site, prior to finalising any deal or transaction.
PropAxis does not endorse or advertise any property listed on the Site and it shall not be held liable for listing any property on its Site where such property is in violation of the rules made under RERA of the concerned state. Further, it shall not be deemed by the Users that PropAxis has any connection or relation with the parties listing their properties on the Site.

25. USE OF INFORMATION

PropAxis undertakes that the procurement, storage, usage and dissemination of all information including User Information and/or Content, as the case may be, pursuant to this Agreement, shall at all times, including upon expiration of the Services or termination of the Agreement with the User, be in accordance with the Information Technology Act 2000, the rules made thereunder and other relevant Applicable Laws.
The User hereby irrevocably and unequivocally authorises PropAxis to utilise User Information for the purposes including those set out below:
- provision of Services in accordance with the Agreement;
- disclose User Information to its directors, officers, employees, advisors, auditors, counsel, or its authorised representatives on a need to know basis for provision of the Services;
- contacting a Third Party Service Provider and/or facilitating/enabling the services of a Third Party Service Provider for the User pursuant to the arrangement between PropAxis and such Third Party Service Provider;
- conducting internal studies, consumer research, surveys and preparing reports in connection with the Services;
- entering the registration data for an Account or receiving alerts, contacting a property seller/buyer; and
- sending alerts, contact details, promotional messages and promotional calls whether by PropAxis itself or through its partners/vendors and sub-partners/sub-vendors.
- disclosing to third parties (including law enforcement agencies and the User's building management personnel) personally identifiable information where PropAxis has reasonable cause to believe that the Users are guilty of any Prohibited Conduct.
